By accessing xeiox.com, requesting a quote, purchasing a product, or engaging our services, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our website or services. These terms are governed by the laws of India.

XEIOX Technologies designs, manufactures, and supplies embedded systems and IoT products including Nurse Call Systems, Token Display Systems, custom IoT hardware, cloud platforms, and OTA firmware services ("Products" and "Services"). All Products and Services are subject to separate written agreements, purchase orders, or quotations which, when accepted, form part of these terms.

• Quotations: All quotations are valid for 15 days from the date of issue unless otherwise stated.
• Purchase orders: A purchase order becomes binding only upon our written confirmation.
• Payment terms: Unless otherwise agreed in writing, payment is 50% advance and 50% before dispatch. Custom hardware orders require 100% advance after prototype approval.
• Pricing: Prices are exclusive of GST, shipping, customs duties, and installation unless explicitly stated. We reserve the right to revise prices before order confirmation.
• Currency: All invoices are issued in Indian Rupees (INR). International orders may be invoiced in USD by prior agreement.

• Lead times: Estimated delivery timelines are provided in good faith but are not guaranteed. We are not liable for delays caused by component shortages, logistics, or force majeure events.
• Risk of loss: Risk passes to the buyer upon handover to the carrier. We recommend transit insurance for high-value orders.
• Installation: Unless a separate installation agreement is signed, Products are supplied for self-installation. We provide documentation and remote support.

• Coverage: All XEIOX hardware products carry a 2-year warranty against manufacturing defects from the date of invoice.
• What is covered: Defects in materials or workmanship under normal use and operating conditions as specified in the product datasheet.
• What is not covered: Physical damage, water ingress beyond the rated IP class, unauthorised modification, use outside specified voltage/temperature ranges, or damage caused by incorrect installation.
• Warranty process: Contact services@xeiox.com with proof of purchase and a description of the defect. We will assess the claim and arrange repair or replacement at our discretion.
• Firmware & software: OTA firmware updates are provided as-is. We warrant that updates will not intentionally degrade core functionality.

All hardware designs, firmware, software, source code, documentation, brand assets, and technical know-how developed by XEIOX Technologies remain our exclusive intellectual property. Purchasing a Product grants you a non-transferable licence to use it as intended. Reverse engineering, decompiling, copying, or redistributing any part of our Products or software without written permission is strictly prohibited.

Any technical specifications, pricing, roadmaps, or business information shared during the course of an engagement are confidential and must not be disclosed to third parties without our prior written consent. This obligation survives termination of the commercial relationship for a period of 3 years.

To the fullest extent permitted by law, XEIOX Technologies's total liability for any claim arising from a Product or Service shall not exceed the invoice value of the specific Product or Service giving rise to the claim. We are not liable for indirect, consequential, incidental, or punitive damages, loss of profits, data loss, or business interruption, even if advised of the possibility of such damages.

• Safety-critical misuse: Our products are not certified for use in life-critical applications (e.g. medical device implants, aviation, nuclear) unless a specific written safety certification agreement is in place.
• Resale restrictions: Resale or distribution of our Products without a written reseller agreement is prohibited.
• Misrepresentation: You may not represent yourself as an agent, employee, or official representative of XEIOX Technologies.

Content on xeiox.com (text, images, diagrams, specifications) is provided for information purposes only. While we strive for accuracy, we make no warranty that the information is complete or error-free. You use the website at your own risk. Automated scraping, crawling, or data harvesting of our website is prohibited without written consent.

We may suspend or terminate your access to our services or website if you breach these terms, engage in fraudulent activity, or otherwise act in a manner harmful to XEIOX Technologies or its customers. Termination does not affect any rights or obligations that arose prior to termination.

These Terms are governed by the laws of India. Any dispute arising from or relating to these Terms or our Products and Services shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration in Delhi under the Arbitration and Conciliation Act, 1996.

We may update these Terms at any time by posting the revised version on this page. Continued use of our website or services after changes constitutes acceptance. For active commercial agreements, material changes require written notice.
